Terms of Service – Raven & Quill Creative

These Terms and Conditions apply to all projects undertaken by Raven & Quill Creative unless otherwise stated in a written agreement.
1. Scope of Work
All work is based on the inclusions outlined in your quote or proposal. Items listed as exclusions, or any new work requested after approval, are considered outside scope and may incur additional charges.
2. Quotes and Estimates
Quoted prices are based on the agreed scope of work outlined in your proposal or quote.
Adjustments apply only where the scope changes, additional work is requested, or unforeseen complexities arise, and will be discussed with the client prior to proceeding.
Quotes remain valid for 30 days from the date of issue.
3. Payment Structure
Project payments are typically split between a deposit and final balance, with flexible arrangements available for returning clients.
For larger or multi-stage projects, payments may be divided into three instalments (for example, commencement, mid-project, and completion).
Specific payment schedules will be outlined in your individual quote or proposal.
Payments are accepted by bank transfer only.
Final invoices are due within five (5) business days of issue.
4. Design Proofs, Mock-ups and Approvals
Draft designs, mock-ups, or website previews will be provided digitally for review. Written approval is required before final development, print preparation, or file export.
Once approval is given, further changes may be treated as additional work and billed at the hourly rate.
Clients are responsible for thoroughly checking all proofs for spelling, grammar, colours, and layout accuracy before final approval.
5. Revisions and Additional Work
Quoted projects include up to two rounds of revisions unless otherwise stated.
Additional changes, new concepts, or work outside the agreed scope are billed at $70 per hour, charged in 30-minute increments, with prior notice before proceeding.
6. Third-Party Costs
Licensing fees, stock images, domain names, printing, subscriptions, or other third-party expenses are not included unless specified.
These costs will be invoiced separately or paid directly by the client.
7. Client Responsibilities
Clients agree to:
- Provide all written content, images, and information required to complete the project.
- Review proofs and provide feedback within the agreed timeframes.
- Ensure any supplied materials are owned, licensed, or authorised for use.
- Maintain timely communication to keep projects on track.
Failure to provide materials or approvals on time may delay delivery and may incur additional billed time if significant delays occur.
8. Ownership and Usage Rights
All creative work remains the intellectual property of Raven & Quill Creative until full payment is received.
Once paid in full, the client is granted a non-exclusive, royalty-free licence to use the final deliverables for their intended purpose.
Editable source files remain the property of Raven & Quill Creative unless otherwise negotiated in writing.
Licensed fonts, plugins, or stock assets purchased under Raven & Quill Creative’s developer or designer accounts remain covered only while an active maintenance or subscription agreement is in place. If that agreement ends, clients must secure their own licences to continue lawful use.
9. Website Build, Hosting and Maintenance
Websites are built using WordPress (or the nominated platform) with responsive design for desktop, tablet, and mobile devices.
Testing is conducted on current versions of major browsers (Chrome, Edge, Firefox, Safari). Compatibility with older browsers or devices is not guaranteed unless specifically agreed in writing.
If included, hosting or maintenance services will be outlined in the quote or proposal.
Hosting and domain costs are payable directly by the client unless otherwise stated.
Maintenance packages cover plugin, theme, and security updates. Content updates or redesigns are quoted separately.
If the client changes hosting providers or cancels maintenance, Raven & Quill Creative accepts no responsibility for site performance, downtime, or security after termination.
Upon final payment, the client receives full administrative access to their website. It is the client’s responsibility to maintain backups unless a maintenance plan is active. Raven & Quill Creative is not liable for errors or data loss resulting from client or third-party changes after handover.
10. Delivery and Handover
All deliverables will be supplied in agreed file formats upon receipt of final payment.
Access to shared systems or online platforms may be revoked at handover. Clients are encouraged to update passwords at that time.
11. Payment Terms and Late Fees
Invoices are payable within five (5) business days.
Accounts not paid by the due date may incur interest at 2% above the RBA cash rate, applied daily until payment is received.
All costs associated with recovering overdue amounts will be charged to the client.
12. Cancellations and Refunds

Cancellations must be made in writing.
If no work has commenced, payments received are refundable in full.
If work has commenced, the time spent and any out-of-pocket costs will be deducted from the amount paid, plus a $50 administration fee.
No refunds apply once final files or deliverables have been provided.
Upon cancellation, all completed work to date will be handed over and Raven & Quill Creative’s involvement will cease.
13. Liability and Warranties
Raven & Quill Creative provides services with reasonable care and skill but does not guarantee specific commercial outcomes or sales performance.
Liability for any claim is limited to the total amount paid for the relevant project.
Raven & Quill Creative is not liable for indirect, consequential, or third-party losses.
14. Confidentiality and Privacy
All client information, files, and materials are treated as confidential and will not be shared except where required for delivery of services, professional advice, or by law.
15. Feedback and Dispute Resolution
We value open communication.
If any concerns arise, clients are encouraged to refer to the Complaints Procedure (available upon request or at ravenandquillcreative.com).
Issues will be acknowledged within 2 business days and addressed promptly and fairly.
16. Acceptance of Agreement
Approval of a quote, proposal, or estimate—whether signed or confirmed in writing (including by email)—constitutes acceptance of these Terms and Conditions in full.
By proceeding, the client acknowledges they have read, understood, and agreed to these terms.

APPENDIX A: Editing & Author Services Terms
(Applies in addition to Raven & Quill Creative’s Master Terms & Conditions)
1. Scope of Service
Editing and author support services may include manuscript assessment, structural editing, copyediting, proofreading, formatting, or publishing assistance, as outlined in your quote or proposal.
Work outside the agreed scope—such as additional drafts, rewrites, or post-approval changes—will be quoted separately or billed at the current hourly rate.
2. Responsibility for Accuracy
Raven & Quill Creative will take every care to ensure clarity, consistency, and accuracy throughout the editing process. While every effort is made to identify and correct errors, absolute error-free text cannot be guaranteed.
The client remains responsible for reviewing and approving the final manuscript or file before publication, printing, or submission.
3. Client Materials
Clients agree to supply editable digital files in Word, Google Docs, or another mutually agreed format.
Files must be backed up prior to submission; Raven & Quill Creative accepts no responsibility for data loss during transfer or editing.
4. Feedback and Revisions
Each project includes one feedback round unless otherwise stated. Substantial rewrites or further editing requested after delivery may incur additional charges at the current hourly rate.
5. Publishing and File Preparation
When formatting or preparing publishing files (e.g. print layouts, eBook files, ISBN setup), final review and approval of all content and metadata rests with the client before release. Raven & Quill Creative cannot accept liability for errors introduced after client sign-off.
6. Confidentiality and Copyright
All manuscripts and author materials are treated as confidential. Copyright remains with the author. Raven & Quill Creative does not claim ownership of edited or formatted works and will not share client content without written permission.

APPENDIX B: Styling & Colour Consultation Terms
(Applies in addition to Raven & Quill Creative’s Master Terms & Conditions)
1. Scope of Service
Styling and colour consultations include advice on colour palettes, finishes, materials, and decorative selections, as detailed in your quote or proposal. Any additional design, sourcing, documentation, or shopping assistance beyond the agreed scope will be quoted separately or billed at the current hourly rate.
2. Hourly Rate and Invoicing
Consultations are billed at $120 per hour, charged in 30-minute increments, with a one-hour minimum. For one-off consultations, payment is due in full at the time of booking. For larger or ongoing projects, a 50% deposit may be required, with the balance due within five (5) business days of the final session.
3. Travel and Access
Travel time is billed at $70 per hour, covering associated costs such as fuel, parking, and tolls. Travel time is calculated from departure to return and is not charged separately by distance unless otherwise agreed. Clients are responsible for ensuring safe, clear access to the property or site.
4. Materials and Samples
Where physical samples (e.g. paint swatches, tile samples, or material boards) are supplied, these remain the property of Raven & Quill Creative unless otherwise agreed. If the client wishes to keep or purchase samples, costs will be invoiced separately.
5. Recommendations and Outcomes
All advice provided during styling and colour consultations is based on professional opinion and available information at the time. Final colour appearance may vary due to lighting, product batch differences, or environmental factors. Raven & Quill Creative is not responsible for variations once materials are purchased or installed.
6. Cancellations and Rescheduling
Please refer to the Cancellation and Refund Policy here.
Cancellations or rescheduling require at least 24 hours’ notice.
Cancellations made within 24 hours of a scheduled consultation, or no-shows, are non-refundable unless the appointment is rescheduled immediately to another available time.
In cases of emergency or illness, consideration will be given at Raven & Quill Creative’s discretion.
7. Liability
While every effort is made to provide accurate and practical advice, Raven & Quill Creative accepts no liability for installation errors, supplier delays, or changes made after consultation. The client assumes responsibility for final selections, purchases, and installation outcomes.
